ACEN Corporation has subscribed to additional shares in Greencore Power Solutions 3, Inc., its joint venture company operating the 115.671-MW Arayat–Mexico solar power plant in Pampanga. The subscription, executed on December 9, 2025, is proportional to ACEN’s 45% stake in the venture.

The company will acquire 2,413,862 Common A shares for PHP 2.41 million and 41,974,772 Redeemable Preferred Shares for PHP 856.71 million. ACEN said the proceeds will allow Greencore 3 to partially settle its outstanding loan obligations previously extended to finance the development and construction of the project.

The subscription is part of Greencore 3’s planned increase in authorized capital stock and will take effect once approved by the Securities and Exchange Commission. ACEN noted that the consideration was paid in cash and represents less than 10% of its total assets as of end-2024.
